Refund Policy
1. General Overview
This Refund Policy outlines the conditions under which fees collected by iBankCentral (operated by Rusaka Technologies Pvt. Ltd.) may or may not be refunded. All users — issuers and investors — are required to read and accept this policy prior to engaging with the platform.
2. Non-Refundable Fees
The following fees are strictly non-refundable under all circumstances:
- Issuer Listing Fee: Paid upfront to initiate dealroom setup, backend legal workflow, PAS-4 generation modules, and investor dashboard access. This is a technology enablement fee and is non-refundable.
- Investor Access Fee: Annual membership or per-deal fee paid by accredited investors for gated deal access. No part of this is refundable once access is granted.
- Premium Documentation Services: Includes fees for valuation reports, pitch deck design, PAS packs, or legal templates. These are service-linked and non-reversible once initiated.
- Compliance Advisory Fees: One-time or project-based fees for legal or structural support provided via internal or third-party professionals.
3. Conditional Refund (Only Scenario)
A refund may be considered only in the following specific case:
- Platform Failure: If the platform materially fails to deliver its listing infrastructure (e.g., failure to launch dealroom due to internal tech breakdown or negligence) and no investor access was granted — a partial refund of the Issuer Listing Fee (up to 70%) may be processed upon formal investigation and audit trail validation.
This refund is discretionary and must be requested in writing within 7 days of the platform's failure, supported by evidence. Approved refunds may take up to 30 working days to process and will be credited to the original bank account used for payment.
4. Refund Ineligibility Scenarios
Refunds will not be issued under any of the following circumstances:
- Issuer voluntarily withdraws the deal after onboarding begins.
- Failure to raise funds due to investor disinterest, pricing mismatch, or documentation delays from the issuer's end.
- Investors choose not to invest after accessing deal materials.
- Delays in regulatory approvals or RoC filings due to third-party compliance bottlenecks.
5. Refund Request Process
- All refund requests must be emailed to legal@ibankcentral.com with subject line: "Refund Request [Company Name/Investor Name]".
- The request must clearly describe the issue, attach all relevant receipts, and be submitted within the prescribed window.
- Platform will acknowledge the request within 5 business days and conduct internal review before final determination.
6. Payment Gateway and Escrow
In case funds are collected through escrow for investor subscriptions, and the deal is not completed or PAS-3 is not filed, all unallocated funds will be refunded directly to investors by the escrow bank — minus statutory charges or transfer fees, if applicable.
7. Final Authority
All decisions regarding refunds are final and at the sole discretion of Rusaka Technologies Pvt. Ltd. The company reserves the right to revise this Refund Policy at any time without prior notice. Continued platform usage after changes constitutes acceptance of the revised policy.
