Terms of Service

1. Introduction

These Terms of Service ("Terms") govern your access to and use of the iBankCentral platform operated by Rusaka Technologies Private Limited. By accessing or using the platform, you agree to comply with these Terms in full. If you do not agree, you must not access or use the platform.

2. Platform Purpose

• iBankCentral facilitates compliant private placements under Section 42 and 25(2) of the Companies Act, 2013.
• The platform acts as a technology layer — not an investment advisor, broker, or intermediary.
• All offerings are invite-only and directed to a select group of verified investors, not the public.

3. User Roles and Eligibility

3.1 Issuers

• Must be an Indian private limited or unlisted public company.
• Must not operate in restricted sectors including gambling, pyramid schemes, or unregulated digital assets.
• Must submit all required documentation including AoA, board resolutions, cap tables, valuation reports, and MGT-14 prior to listing.

3.2 Investors

• Must complete KYC verification, risk acknowledgment, and backend approval.
• Must meet minimum accreditation standards (e.g., ₹1 crore net worth or ₹25L+ annual income).
• Must agree to a minimum 6-month lock-in period and no resale clause post allotment.

4. Compliance Obligations

• All deals must follow MGT-14 → PAS-4 → PAS-3 process per MCA regulations.
• Offers must be personalized — no bulk circulation, public posts, or media distribution is permitted.
• Platform auto-generates, timestamps, and logs all offer letters for audit and dispute protection.
• Cap table updates and digital share certificates must be finalized post-PAS-3 filing.

5. Escrow, Payments, and Fees

• All subscription amounts must be routed through SEBI-registered escrow banks.
• Funds are locked until successful allotment and RoC submission (PAS-3).
• Platform success fees, listing fees, and premium service fees may be deducted directly from escrow on completion.
• No cash payments or off-platform transactions are permitted.

6. Platform Responsibilities and Limitations

• iBankCentral is not responsible for the financial accuracy or viability of issuer companies.
• The platform does not verify return expectations or business model viability.
• No guarantee is provided for the success or allotment of any fundraising campaign.
• Platform usage does not create any fiduciary relationship between users and Rusaka Technologies Pvt. Ltd.

7. Security and Privacy

• All sensitive data is stored in compliance with India’s Digital Personal Data Protection (DPDP) Act and IT Act.
• Documents, signatures, and payments are encrypted and timestamped for regulatory defense.
• iBankCentral does not share data with third parties unless legally obligated or explicitly permitted.

8. Intellectual Property

• All platform UI, workflows, code, and proprietary compliance modules are owned by Rusaka Technologies Pvt. Ltd.
• Users may not reuse, replicate, or redistribute any part of the platform without written permission.

9. Disclaimers and Risk

Investment in unlisted securities is subject to high risk, including capital loss, illiquidity, and regulatory changes. By using the platform:

• You acknowledge the risk of loss and understand that securities are not listed or traded.
• You agree not to hold iBankCentral liable for financial losses or delays caused by issuers or external service providers.

10. Termination and Suspension

• iBankCentral reserves the right to suspend or terminate access for any user violating these Terms or applicable law.
• All obligations regarding confidentiality, risk, and liability will survive termination.

11. Dispute Resolution

All disputes shall be resolved as per Indian law:

• First through platform-led conciliation.
• If unresolved, via arbitration under the Indian Arbitration & Conciliation Act, 1996.
• Final jurisdiction lies with courts located in Mumbai, Maharashtra.

12. Modifications to Terms

iBankCentral may revise these Terms at any time. Users will be notified via email or platform notification. Continued use after changes constitutes acceptance.
